Limited Liability Company "MIKO," hereinafter referred to as the "Seller," proposes to any interested person ("Buyer") to conclude an Agreement on the terms of this Public Offer (hereinafter referred to as the "Agreement").
1.1. "Website" – the Internet resource available at: https://lic.mikopbx.ru
1.2. "Digital Products and Services" – software, non-exclusive software licenses, services providing access to AI cloud solutions, including speech recognition and generation, summarization, tagging, and processing of phone calls and chat recordings using neural networks, as well as topping-up billing balances for these services.
1.3. "Offer Acceptance" – complete and unconditional acceptance of the Agreement terms by performing one or more actions specified in this offer.
2.1. The Seller undertakes to provide the Buyer with access to Digital Products and Services listed on the Website, and the Buyer undertakes to accept and pay for them according to this offer.
2.2. The Seller grants a non-exclusive license to use software products and provides access to services under the terms published on the Website.
2.3. Delivery of Digital Products and Services is carried out exclusively electronically via the Website, email, or other electronic means.

6.2. Digital Products and Services are provided "as is," without guarantees of meeting the Buyer's expectations or intended purposes, except as expressly provided by law.
7.1. Refunds for Digital Products and Services provided appropriately to the Buyer are not permitted, except as explicitly provided by the legislation of the Russian Federation.
8.1. Parties agree to maintain confidentiality and protect personal data in compliance with the laws of the Russian Federation.
9.1. Parties are exempt from liability for non-performance of obligations if impossibility to fulfill them arose from force majeure events.
10.1. Parties acknowledge the legal validity of electronic messages and documents sent via email, personal account on the Website, or other electronic means.
10.2. A pre-trial dispute resolution procedure is mandatory.
10.3. All disputes are resolved under the laws of the Russian Federation. The language of the Agreement is Russian.

1.1. Due to the nature of digital products and services delivered electronically, refunds or exchanges of properly functioning digital products and services after activation or commencement of use are not permitted.
1.2. The Buyer has the right to request a refund for purchased digital products and services only before their activation or actual commencement of use. The Seller reviews each refund request individually.
1.3. To initiate a refund request, the Buyer must submit an official application to the Seller's email: sale@mikopbx.ru, indicating the reason for the refund, order number, and contact details.
1.4. Upon approval, the Seller shall refund the payment using the same payment method originally used by the Buyer within 10 business days from the decision date.
1.5. The Seller reserves the right to refuse refunds if the digital product or service has been activated by the Buyer or actual use has commenced.
2.1. Digital products and services of inadequate quality are understood to be those products and services that cannot be used for their intended purpose due to technical defects, critical errors in operation, or clear discrepancies with the declared specifications published on the Seller’s website.
2.2. All digital products available on the website are provided to the Buyer in a fully functional demonstration mode for a period of 14 (fourteen) days. This period is intended for comprehensive testing of the product’s functionality and for assessing its compliance with the declared specifications and the Buyer’s requirements.
2.3. After the product is purchased, returns or exchanges are only possible in cases where the identified deficiencies could not have been discovered during the use of the demonstration version and are of a technical nature that renders further use of the product impossible.
2.4. If a digital product or service of inadequate quality is discovered, the Buyer must send a written notice to the Seller’s email address: sale@mikopbx.ru, providing a description of the identified issue and attaching supporting materials (screenshots, video recordings, logs, etc.).
2.5. The Seller is obligated to review the Buyer's claim within 10 business days of receipt. If the defect is confirmed, the Seller may, at its discretion:
2.6. Refunds will be made via the original payment method within 10 business days of the Seller's decision.
2.7. The Seller reserves the right to deny refunds or exchanges if the defects result from actions by the Buyer, third parties, or improper use of the product.
3.1. The Seller shall not be responsible for the inability of the Buyer to use digital products and services due to lack of necessary technical conditions or skills.
3.2. The Seller shall not be liable if digital products and services fail to meet the Buyer's subjective expectations or objectives not explicitly stated on the Seller's website.
